In the event of any discrepancy or inconsistency between the German version of these Terms and Conditions and this English translation, the German version shall prevail and shall be the sole legally binding version.
§ 1 Scope of Application
1.1 These General Terms and Conditions (hereinafter the “Terms”) apply to all contracts concluded between Horlogerie Saxer GmbH (hereinafter the “Seller”) and customers (hereinafter the “Buyer”) for the purchase of products.
1.2 These Terms apply to both private individuals (B2C) and businesses (B2B), unless expressly distinguished otherwise below.
1.3 Any terms and conditions of the Buyer that deviate from, conflict with, or supplement these Terms shall not become part of the contract unless the Seller expressly agrees to their applicability in writing.
1.4 These Terms apply exclusively to deliveries within Switzerland.
§ 2 Conclusion of Contract
2.1 The presentation of products on the website does not constitute a legally binding offer, but rather an invitation for the Buyer to submit an order.
2.2 By placing an order for a product, the Buyer submits a binding offer to enter into a purchase agreement.
2.3 The Seller may accept this offer within 3 business days by sending an order confirmation by email or by shipping the goods. A contract is concluded only upon the Seller’s explicit order confirmation or upon shipment of the goods.
2.4 The same conditions apply to orders placed by businesses (B2B); the Buyer confirms that they are authorised to place the order on behalf of the business.
§ 3 Prices und Payment
3.1 All stated prices are final prices in Swiss Francs (CHF). The Seller is not currently subject to value-added tax (VAT); prices therefore do not include VAT.
3.2 Shipping costs are not included in the price unless expressly stated otherwise. Applicable shipping costs will be clearly disclosed to the Buyer before the order is completed.
3.3 Payment shall be made using the payment methods offered on the website (e.g. bank transfer, credit card).
3.4 If payment is made against an invoice, the invoiced amount is due in full within 30 days of the invoice date, without deduction.
3.5 In the event of late payment, the Seller is entitled to charge default interest in accordance with Art. 104 of the Swiss Code of Obligations (CO) (5% per annum).
§ 4 Delivery
4.1 The Seller delivers exclusively within Switzerland.
4.2 Delivery times are non-binding estimates. Binding delivery commitments require written confirmation by the Seller.
4.3 The delivery period begins on the date of the order confirmation. Information on the expected delivery time can be found in the product description or in the order confirmation.
4.4 The risk of accidental loss of, or accidental damage to, the goods passes to the Buyer upon handover of the goods to the shipping service provider (Art. 185 CO).
4.5 Partial deliveries are permitted, provided this is reasonable for the Buyer.
4.6 Delivery shall be made only after full payment has been received in the Seller’s business account. For payments by bank transfer, the date on which the amount is credited to the Seller’s account shall be deemed the date of receipt of payment. Shipment against invoice will only take place following explicit written agreement.
§ 5 Retention of Title
5.1 The delivered goods remain the property of the Seller until the purchase price has been paid in full (Art. 715 of the Swiss Civil Code, CC).
5.2 In the event of late payment, the Seller is entitled to reclaim the goods.
§ 6 Warranty and Defects
6.1 The Seller warrants that, at the time of handover, the delivered products are free from defects that eliminate or significantly reduce their value or fitness for the intended use.
6.2 For private customers (B2C), the statutory warranty period of 2 years pursuant to Art. 210 CO applies from the date of delivery.
6.3 For businesses (B2B), the warranty period is 1 year from the date of delivery. Obvious defects must be reported in writing without delay, and at the latest within 5 business days of receipt of the goods.
6.4 In the case of justified defect claims, the Buyer is entitled, at the Seller’s discretion, to repair or replacement or, should these remedies fail, to a reduction of the purchase price or withdrawal from the contract.
§ 7 Returns and Exchanges
7.1 Under Swiss law (CO), there is generally no statutory right of return, provided no defect is present.
7.2 The Seller voluntarily grants private customers (B2C) a right of return within 14 days of receipt of the goods. The goods must be returned unused, complete, undamaged, and in their original packaging, including all accompanying documents.
7.3 For watches sold as “New / Unworn”, returns will only be accepted if the watch shows no signs of wear, scratches, or other alterations. If the returned goods show a reduction in value, the Seller reserves the right to deduct the corresponding amount from the refund.
7.4 The Buyer bears the cost of return shipping, unless otherwise agreed.
7.5 Refunds will be issued within 14 days of receipt of the returned goods, using the original payment method.
7.6 For businesses (B2B), returns are excluded unless a statutory or contractually agreed reason for return exists.
§ 8 Limitation of Liability
8.1 The Seller is liable without limitation for damages caused by intent or gross negligence.
8.2 In cases of slight negligence, the Seller is liable only for breaches of material contractual obligations. In such cases, liability is limited to foreseeable damage typical for this type of contract.
8.3 Any further liability towards businesses (B2B) is excluded to the extent permitted by law.
§ 9 Privacy Policy
9.1 The Seller collects and processes the Buyer’s personal data exclusively for the purpose of contract fulfilment and in accordance with the Swiss Federal Act on Data Protection (FADP).
9.2 Further information on data processing can be found in the Seller’s Privacy Policy, available on the website.
§ 10 Applicable Law and Jurisdiction
10.1 These Terms and any contracts based thereon are governed exclusively by Swiss law, in particular the Swiss Code of Obligations (CO) and the Swiss Civil Code (CC). The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.
10.2 The place of jurisdiction for disputes with businesses (B2B) is the registered office of the Seller. For disputes with private customers (B2C), the statutory provisions on jurisdiction apply.
§ 11 Final Provisions
11.1 Should any individual provision of these Terms be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
11.2 The Seller reserves the right to amend these Terms at any time. The version in effect at the time the order is placed shall apply.
11.3 There are no verbal side agreements. Amendments and additions to the contract must be made in writing.
§ 12 Governing Language
12.1 These Terms and Conditions are drawn up in German and translated into English for the convenience of the Buyer. In the event of any discrepancy or inconsistency between the two versions, the German version shall prevail and shall be the sole legally binding version.
